Komplementa completes the first closing of its Mid-Market fund, raising €70 million from entrepreneurs, family offices, and institutional investors, including Fondo Italiano di Investimento Sgr.

The Fund will focus its investments on Italian SMEs with high growth potential in the lower-mid market segment operating in sectors such as ICT, Healthcare & Personal Care, Industrial, Food and B2B Services.
A few months after receiving authorization from the Bank of Italy, Komplementa Investment Partners SGR (“Komplementa“), an Italian asset management company specializing in alternative funds and SICAFs, announces the completion of the first closing of the Komplementa Mid-Market Fund (the “Fund“), with an initial fundraising of €70 million. The final target for the fundraising has been set at €150 million.
The fundraising was conducted primarily among entrepreneurs, family offices, and professional investors, with significant investment from funds of funds managed by Fondo Italiano di Investimento Sgr, which acted as Komplementa’s key partner from the outset in structuring the initiative, acting as cornerstone investor.
The Komplementa Mid-Market Fund will focus its investments on Italian SMEs operating in the lower-mid market segment, which is characterized by less competitive pressure during the investment phase as it is historically less covered by private equity funds, which often focus on larger transactions. While maintaining a generalist approach, Komplementa will focus its investments on high-potential companies in sectors such as ICT, Healthcare & Personal Care, Industrial, Food, and B2B Services. The Fund will adopt a flexible approach, favoring majority investments in SMEs with an EBITDA indicatively between €3 million and €10 million, while remaining open to minority investments limited to capital increases, with a view to development capital. It will also be possible, albeit with specific limitations, to envisage forms of co-investment by the Fund’s investors.
The target companies will operate with solid business models and be active in resilient sectors with high growth potential, particularly in international markets. The strategy aims to enhance the value of the portfolio companies not only by supporting their organic development but also by promoting buy & build initiatives to help them reach a size suitable for growth. In the first months of operations, Komplementa has already analyzed approximately 200 investment dossiers, confirming the presence of solid, growing deal flow consistent with the Fund’s strategy. The fully operational portfolio will consist of 6-7 selected investments, identified through a robust pipeline, fueled by the investment team’s extensive network, built over twenty years of experience in the sector.
Komplementa Mid-Market is an AIF under Italian law, compliant with the PIR regulation and adopts a responsible approach both in its investment processes and in the active management of its investees, in line with the classification pursuant to Article 8 of the SFDR Regulation.

Komplementa Investment Partners was founded by a team of professionals with a long history of collaboration and highly complementary skills in private equity, M&A, entrepreneurship, management, and strategic consulting. The company was founded by: Maurizio Esposito, former CEO of Credem Private Equity, with over 30 years of experience and more than 100 completed transactions; Michele Foppiani, founder of Arcaplanet, who led the company through four ownership changes with private equity funds, increasing the value of the initial investment more than 300 times; Giorgio Antichi, with extensive experience in M&A, portfolio management, strategic consulting, and business due diligence, as well as having served as CEO of Italian SMEs; and Tiziana Gargiulo, former CFO of Arcaplanet and expert in structured finance. The long-standing professional and personal ties between the founders form the basis of a shared vision, developed through shared paths such as the growth of Arcaplanet and successful investments in companies such as Finlogic and HMC-Premedical. The team is completed by Luigi Radice, as Investment Director, with solid experience in M&A and private equity gained in leading funds and industrial groups, and Nicola Annoscia, an Investment Analyst with a background in private equity funds and strategic business due diligence consulting.
